The Pre-Market Letter

The overnight-to-open briefing · Daily

Issue #6 · OPENING BELL

October 16, 2026

Daily at 3:30 AM ET. The overnight books, the filings behind them, and which bids are real versus painted — the read you need before 4:00 AM. Most of the money in these names moves before the regular session opens.

Issue #6 · OPENING BELL

October 16, 2026

The 3:30 calls paid: HODO ran to $0.1540 (+128% vs close), RUBY to $0.72 (+124%), TCRT to $3.19 (+46%), NCPL to $3.06 (+54%), XLAB to $2.10 (+54%), PMI to $13.50 (+35%). Now the bell: seven books re-read live at 9:29 AM ET, 75 seconds apart, direction before depth. TCRT stacked its bid depth 1,694 to 6,901 into the open, XLAB is climbing and stacking together, SGRX repriced its bid up 4.5% between reads, and XXII is attempting a rebuild, bid up with depth growing. ZTG carries the board's biggest gap (+64%) but the offer side is 56,000 shares deep against a draining bid — the widest warning on the card. Books, not hopes.

TCRT

Bid depth stacked 1,694 → 6,901 shares at an unchanged $2.79 into the bell — #1

Schedule 13D, 13D/A and Form 3 filed Oct 15, 2026 (Alaunos Therapeutics, CIK 0001107421) · Read SEC filing

Prior close $2.18; bell bid $2.79 x 6,901 against ask $2.80 x 1,064, a 0.36% spread. Across the 9:29 two-read the bid price held flat while best-bid depth quadrupled — fresh buyers stacking under an unchanged price is the strongest book on the card. Pre-market high $3.19; the name faded off the high into the bell but kept its stack. The Oct 15 13D cluster remains the catalyst on record. Stacking into the open is the pattern; what happens when real volume hits 6,901 shares decides the day.

XLAB

Climbing AND stacking: bid 1.79 → 1.84, depth 2,502 → 4,082 into the bell

Schedule 13G and 8-K filed Oct 15, 2026 (Exascale Labs Holdings, CIK 0002109869) · Read SEC filing

Prior close $1.36; bell bid $1.84 x 4,082 against ask $1.85 x 3,900, a 0.54% spread. Both reads improved: price up, depth up, two-sided book. Pre-market high $2.10 (+54% vs close) — the only name on the bell watch still bidding within 13% of its overnight high with a book that is building, not draining, into the open. The Oct 15 13G plus 8-K cluster stands as the catalyst. The two-direction-confirmed read is exactly the profile the doctrine ranks first.

SGRX

Bid +4.5% in 75 seconds: 0.9009 → 0.9414 — buyers repricing up, resting orders eaten

Not yet verified against the SEC submissions record at press time (SugreRx / CIK to be confirmed) · Read SEC filing

Prior close $0.685; bell bid $0.9414 x 1 against ask $0.949 x 999, a 0.81% spread. The fastest mover between the two bell reads: bid price up 4.5% while best-bid depth collapsed 996 → 1 — the GP-pattern, buyers eating the ladder and repricing up rather than pulling. The spread is tight and the offer is 999 shares at one price. The book says participants are present and aggressive; the absence of a verified filing trail at press time means this is tape-only evidence — treat the read as momentum until a filing or release confirms what is behind it.

ZTG

Board's biggest gap (+64% vs close) — but 56K shares offered against a draining bid

Overnight runner from the pre-market board (ZTG); filings not yet verified at press time · Read SEC filing

Prior close $0.623; bell bid $1.02 x 877 against ask $1.03 x 55,951, a 0.98% spread. The gap is the largest on the card, but the two-read direction is DOWN — best bid slipped 1.04 → 1.02 and best-bid depth drained 17,376 → 877 while the offer stacked to 56,000 shares. A tight spread with a heavy offer over a draining bid is a distribution-side warning: the premium is real, but the book says the sell side arrived. Spread, depth and direction — the facts — say the $1.03 wall is the level to watch at the open.

Issue #5

October 16, 2026

Ten names on the overnight board, read live between 3:32 and 3:47 AM ET with second-pass reads. XXII (22nd Century) carries the largest gap of the night: bid $1.04 against a $0.6272 close, +66%, depth stacked 8.4:1 to the buy side. Three books are actively improving — TCRT stacked its bid depth from 2 to 188 shares, XLAB stepped its bid up, CIGL climbed on a volume surge — while HODO's book sits 40% above its close directly on top of an EFFECT notice, and RUBI's one-sided bid stands opposite a fresh 424B3 resale shelf. The two-read discipline is the whole story; here is what each book and each filing says.

XXII

Bid $1.04 x 5,452 (+66% vs close) — the largest gap on the board, 8.4:1 bid-to-ask depth

424B3 and S-8 filed Aug 14, 2026; most recent 8-K Sep 1, 2026 (22nd Century Group, Inc., CIK 0001347858) · Read SEC filing

Prior close $0.6272; live bid $1.04 x 5,452 against ask $1.05 x 641, a 0.95% spread. The bid sits 65.8% above the prior close — the largest gap on the board tonight — with depth stacked 8.4:1 to the buy side and the direction flat across both reads. No filings since Sep 1: the move is tape-only, which makes the book the only evidence. The Aug 14 424B3 keeps a registered resale channel live under the move; registered paper can reach that bid at the open without a displayed ask ever showing it.

TCRT

Bid depth stacked 2 → 188 shares at $2.68; new Schedule 13D filed

SCHEDULE 13D and 13D/A plus Form 3 filed Oct 15, 2026; 8-Ks filed Oct 13 and Oct 9, 2026 (Alaunos Therapeutics, CIK 0001107421) · Read SEC filing

Prior close $2.18; live bid $2.68 x 188 against ask $2.69 x 70, a 0.37% spread. The two-read comparison shows the best-bid depth building from 2 to 188 shares at an unchanged price — the stacking pattern, not a paint. The bid sits 22.9% above the prior close. The Oct 15 Schedule 13D and 13D/A record a new beneficial-owner position report; contents are characterized only by their record metadata here, but a new holder report landing the day before an overnight stack is the kind of coincidence the tape read exists to catch.

XLAB

Bid stepped up 1.51 → 1.52 (+12% vs close); Schedule 13G filed Oct 15

SCHEDULE 13G and 8-K filed Oct 15, 2026; two Form 4s filed Oct 6, 2026 (Exascale Labs Holdings, CIK 0002109869) · Read SEC filing

Prior close $1.36; live bid $1.52 x 792 against ask $1.53 x 36, a 0.65% spread. Across the two reads the bid price stepped UP 0.66% while the ask stayed thin — the climbing pattern. The Oct 15 Schedule 13G records a new passive 5%+ holder report on the same day as an 8-K. Two direction-confirmed reads, a two-day filing cluster, and an 11.8% bid-over-close gap.

CIGL

Bid climbing on a volume surge; 0.62% spread with a 44-share ask

No filings dated Oct 1-16, 2026 in the SEC submissions record checked at 3:32 AM ET (Concorde International Group, CIK 0002001794) · Read SEC filing

Prior close $0.252; live bid $0.2872 x 2,641 against ask $0.289 x 44, a 0.62% spread. Across the two reads the bid stepped up 0.03% and the book stayed two-sided but ask-light. The bid sits 13.9% above the prior close on what the session reports show as massive volume. No fresh filings sit behind the move — this one is tape-only, which means the book itself is the only evidence; treat it as momentum until an 8-K or press release confirms a catalyst.

RUBI

1.85M shares bid at $0.3943 (+23%) with the ask side EMPTY — opposite a fresh 424B3

424B3 and 6-K filed Oct 15, 2026; a second 424B3 and 6-K pair filed Oct 6, 2026 (Rubico Inc., CIK 0001943421) · Read SEC filing

Prior close $0.321; live bid $0.3943 x 1,847,111 with NO ask displayed. A 23% bid-over-close gap on a one-sided book is the display James flagged — but the Oct 15 424B3 is a resale registration going effective-adjacent, and a second 424B3 followed within nine days of the first. The pattern this terminal tracks: one-sided overnight bids standing directly opposite a fresh resale shelf are as often an exit ramp for registered shares as a genuine squeeze. The sell side being closed cuts both ways — nobody can sell into that bid through a displayed ask, and registered paper can still hit it at the open.

HODO

Bid +40% over close with 1.34M shares shown — directly on top of an EFFECT notice

EFFECT notice Oct 13, 2026 (House of Doge Inc., CIK 0001903595) · Read SEC filing

Prior close $0.0675; live bid $0.0946 x 1,343,270 with NO ask displayed. The bid sits 40.2% above the prior close — the largest gap on the board. The Oct 13 EFFECT notice means a registration statement has been declared effective: the issuing company can now lawfully sell or the registered holders can now lawfully resell. The sequencing is the arrangement this letter watches for — a one-sided bid drawing eyes up while freshly-registered supply becomes deliverable. Highest reward, highest trap risk on the card tonight.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #4

October 15, 2026

Six names on the overnight board. The live books show a 285,175-share GP bid with no ask displayed, SHFS bid 39% above its prior close but only one share at the best price, and four two-sided books. Prices below use the Oct 14 close as the last overnight print; bids and asks are live snapshots at 3:35 AM ET. SEC submissions checked through Oct 15, 2026.

HCAI

Two-sided book near $0.412; $0.42 was the session high

Form 6-K filed Oct 14, 2026; accession 0001213900-26-109456 (primary document: ea0308512-6k_huachen.htm) · Read SEC filing

Prior close $0.2792; live bid $0.412 x 8,776 against ask $0.4139 x 5,999, a 0.46% spread. The session high was $0.42. The price is far above the prior close in this overnight snapshot; the book is two-sided, not locked. The SEC record identifies an Oct 14 foreign-issuer 6-K; no claim about its catalyst is made without reviewing its contents.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #3

October 14, 2026

Six names on the pre-market board and the buy side owns the tape again: five of six overnight books are stacked bids against empty or near-empty asks. One name carries a fresh 13D accumulation disclosure (AGMH), one a brand-new IPO with an active resale channel (NIVF), and BDRX is bidding 74% over Monday's close with nothing on the ask. Books from the overnight Level 2 feed, filing checks to EDGAR, cutoff 4:00 AM ET.

BDRX

+74% overnight bid against an empty ask — the loudest print on the board

EFFECT Sep 30; 424B3 resale Oct 6; 6-K Oct 8 · Read SEC filing

Closed $0.3502 Monday and the overnight book reads bid 0.608 x 1,352 with an EMPTY ask side — a 74% premium to the close. The filing record is all supply: an EFFECT notice Sep 30, a 424B3 resale prospectus Oct 6, and a 6-K Oct 8. A resale registration going effective right as the bid walks up is the classic setup where registered paper meets engineered demand. The bid is the only fact tonight; the ask gets painted at the open.

GLND

The 45,000-share stack — biggest bid wall of the morning

8-K Sep 28; 8-K Sep 29; two Form 4s Sep 30 · Read SEC filing

Closed $2.21 and the overnight book reads bid 2.62 x 45,425 — the largest stacked bid on the board, +18.5% over the close, ask completely empty. The record is quiet: two 8-Ks back-to-back Sep 28-29 and insider Form 4s at month-end, nothing since. No offering paper, no deficiency notices — the cleanest filing profile on the board behind the thickest wall.

RKDA

+39% overnight and the only real two-sided book — tightest spread on the board

S-8 Sep 30; Schedule 13G Sep 30 · Read SEC filing

Closed $0.2075 and the overnight book reads bid 0.2892 x 2,137 with 5,372 more at 0.2835 against a real ask: 0.29 x 2,000, spread 0.28%. A +39% bid that still has genuine sellers working is the only book on the board with two-way truth. Fresh S-8 (more shares registered for issuance) plus a new passive 13G — the fund on the 13G is watching; the S-8 is the dilution to respect.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #2

October 13, 2026

Nine names on the pre-market board. One has a real, dated catalyst on the wire (DCX, Whales AI), the rest are tape-driven: locked books, locked-up buy sides, and two names showing empty ask sides against stacked bids. The filing record behind the board is thin — which is itself the read. Book data from the overnight Level 2 feed, filing checks to EDGAR, cutoff 3:45 AM ET.

YJ

The buy side is locked — bid 2.23 x 21K with an EMPTY ask

Zero filings Oct 1-13; zero press releases Oct 8-13 · Read SEC filing

Yunji closed $1.89 and the overnight book now reads bid 2.23 x 21,128 with nothing on the ask side — a one-sided market. The L2 depth is all bid: 2.23 x 21K, 2.22, 2.21 trailing. A stacked bid against an empty ask is the lock-up profile that precedes engineered pops; with no filing or news behind it, the tape IS the catalyst. Expect the ask side to be painted in at the open; the question is whether the lock holds through real volume.

DCX

The one with a real catalyst — $4M Whales AI deal on the wire

PR Oct 12 11:20 UTC (GlobeNewswire); 424B5 Sep 21; 6-K Sep 24 (160:1 consolidation effective Sep 28) · Read SEC filing

Digital Currency X announced a strategic investment and exclusive North America commercialization agreement with Whales AI for an AI STEM robotics platform: $4.0M initial, 60/40 revenue split, up to $16M more non-binding. The 6-K had not hit EDGAR at cutoff — the PR is the record so far. The bid agrees: 3.55 x 186 climbing, +61% over the $2.20 close. The overhang is equally real: the Sep 21 424B5 registered 23.8M shares plus up to 71.4M Series A/B warrants, and a 160:1 consolidation went effective Sep 28. A news catalyst with a warrant mountain behind it — the mechanism that usually sells into the pump.

FCHL

+80% overnight bid with zero filings — purest squeeze on the board

Zero filings Oct 1-13; baseline: 424B4 Apr 20 ($5.0M at $1.55/unit), 30:1 consolidation May 4, Nasdaq bid-deficiency notice May 26 · Read SEC filing

Fitness Champs Holdings closed $1.00 and the overnight book reads 1.79-1.80 on the bid, roughly +80% over close, ask thin at 20 shares. Nothing filed, nothing announced. The name runs on a 30:1-consolidated, $5M-offering, Nasdaq-deficient base — the exact profile that squeezes hard and hands back harder. Two-read scan says CLIMBING (resting bids filled, not pulled). No paper means no kill switch; the bid is the only fact.

SAIQ

Fresh SPAC debut — bid climbing on a thin ask

SPAC debut Oct 2 via Columbus Acquisition; WISeKey/SEALSQ sister company · Read SEC filing

WISeSat.Space finished Monday $3.71 (-20.7% on the day) and the overnight book has rebuilt to 4.20 bid, +13% over the last print, ask thin at 22 shares. A five-session-old name with a satellite-IoT story attached to the WISeKey orbit. Young SPAC decons trade violent both ways; the climbing bid says round two is being attempted before the first week is out.

AIXI

Buyers repricing, not leaving — depth grew 124 to 1,186 overnight

Nasdaq deficiency notice and ADS ratio change plan on the baseline record · Read SEC filing

Xiao-i closed the day $2.40 after trading to $3.21; the overnight bid stepped down a tick to 2.86 but depth multiplied nearly tenfold — buyers repositioning lower with size, not exiting. The two-read classification is REBUILDING. The name carries an ADS-ratio change plan and a bid-price deficiency on its record; repricing at 2.86 into a 0.35% spread is the accumulation signature, with the caveat that dilution-paper risk rides along.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #1

October 12, 2026

Eight names on the pre-market board. Three books are bid-stacked into the open, two overnight paints are fading, one is a full-blown pump off a ghost-stock base, and one already crashed. The tape rules the morning; here is what each book and each filing says.

VCIG

Book flipped bid-heavy overnight — the 410K ask wall cleared

SC 13D/A x3 Oct 6; Form 4 Oct 5; F-1 Sep 29 · Read SEC filing

VCI Global ran from Friday's $0.5095 close to ~$0.72 overnight (+41%) on 7.05M shares. The ask wall (~410K) that capped the 3:30 AM read is GONE — the book now reads bid 0.7176 x 3,170 vs ask 0.719 x 1,417, stacked 2:1 to the buy side. The paper behind it: three Schedule 13D amendments filed the same day (Oct 6) and a Form 4 Oct 5 — a control group repositioning mid-run. The company carries a $125M equity purchase agreement (Hudson Global class) and secured Dune/FirstFire notes. Bid direction says this is the strongest book on the board into 4 AM.

LNKS

Steady climber: +67% overnight with the bid still rising

20-F filed Oct 8 — two days before the run · Read SEC filing

Linkers Industries closed Friday $0.9523 (+12.6% on 12.3M shares), then walked to ~$1.59-1.60 overnight. The bid CLIMBED across the session: 1.54 at 12:37 AM, 1.59 now (+3.2%) with a 1.60 x 797 ask overhead. Profile caution: 1:250 reverse-split history, $16M offering, registration revoked per the distress file — a serial-splitter in a genuine up-cycle, but the Moomoo ADV cap band on this name is ~10.6K-31.8K shares/day, so size matters. The 20-F landing two days before the move is the tell institutional desks read first.

RIME

147K-share bid wall at +28% over close — paint until prints land

Form 3/4 cluster Oct 5-7 — insiders papered trades into this · Read SEC filing

Algorhythm (f/k/a Singing Machine) closed Friday $0.1355. The overnight book shows bid 0.1736 x 147,431 with an EMPTY ask — the classic paint profile: a huge defended shelf parked above the close with nothing offered against it. The Form 3/4 cluster filed Oct 5-7 means insiders registered and traded into exactly this setup. Treat the wall as a shelf, not a buyer: default bias distribution until it holds with real volume above $0.14.

SKYA

The paint bid keeps building — the insider paper says the opposite

Form 3 + Form 4 Oct 9 (Bastion 13(d) group) · Read SEC filing

SkyAI (f/k/a Sharps Technology, renamed May 15) closed Friday $1.82 (+7.69%). The overnight bid at 2.19 grew all night: 6.8K -> 11.5K -> 14.2K -> 18,789 shares, +20% over close, ask empty. But the Form 4 is the story: the Bastion group DISPOSED 1,429,417 shares Oct 7 (3.3% of the company) into the run and still holds 4,234,615 pre-funded warrants plus 4.23M common — a ~10%-of-shares-out overhang. That is distribution-into-strength, paper-confirmed. A tall bid with a seller-of-record behind it is exit liquidity, not accumulation.

YMAT

The +114% runner is FADING — bid down 7.7% since midnight

6-K filed Oct 9 (run catalyst; content pending read) · Read SEC filing

J-Star Holding (Singapore jewelry) ran from Friday's $1.29 close to $3.03 after hours (+134.9% at peak, AH volume equal to the full regular session) and trades ~$2.76-2.77 now — still +114% but the book is slipping: bid 2.99 x 984 at 12:37 AM down to 2.76 x 151 now, with an ask ladder stacked 5:1 overhead (2.78 x 3,830, 2.79 x 5,356). A runner that peaked and is now distributing above a falling bid is a fade, not a dip-buy, until the bid stabilizes.

Which agents, brokers, and placement desks connect which tickers. The terminal's registry maps the professional networks behind distressed and diluting small-caps — this letter reports what moved through the web.

Issue #4

October 13, 2026

Four names entered the registry overnight as the pre-market books built: a $4M strategic counterparty appeared beside a 71.4M-warrant structure, a split-effective name kept its offering channel full, and a five-day-old SPAC debut re-anchored to its Swiss parent network. The web connects them; this letter reports the connections.

Whales AI enters the web — $4M beside a 71.4M-warrant structure

PR Oct 12 (GlobeNewswire); 424B5 Sep 21; 6-K Sep 24 (160:1 consolidation effective Sep 28) · Read SEC filing

Digital Currency X's new counterparty is Whales AI Limited: a $4.0M strategic investment with exclusive North America commercialization of an AI STEM robotics platform, 60/40 revenue split, up to $16M more non-binding. The registry records Whales AI as a new connected entity. The structure beside it: the Sep 21 424B5 registered 23.8M shares plus up to 71.4M Series A/B warrants, and the 160:1 consolidation went effective Sep 28. One web event, two very different mechanisms — the deal names the partner, the warrant paper names the supply.

424B3 resale series (26-26-0008/0010/0016); corporate action: 1-for-6 consolidation effective Oct 7, 2026 · Read SEC filing

SU Group's registry thread runs through The Benchmark Company, sole bookrunner of the January 2024 IPO at $4.00. This month the channel stayed loaded: a $6M units close, a $17.2M unit/warrant offering in process, and a 424B3 resale series — all beside a 1-for-6 consolidation that went effective Oct 7. Bid compliance was regained Aug 20 after a delisting notice. The network pattern: one placement desk, repeated raises, and a split resetting the price optics between them.

Issue #3

October 12, 2026

The overnight board put eight names in play before the 4 AM open, and the filings behind them read like a map of the deal web itself — one Bastion disposal, three same-day 13D amendments, an insider cluster inside a paint wall, and a crypto-routed PIPE. Here is whose paper sits behind each pre-market mover.

SKYA

Bastion group sold into the run — and the paint bid evaporated at the open

Form 3 + Form 4 Oct 9, 2026 (Bastion 13(d) group) · Read SEC filing

The Bastion Trading group (Bastion Trading, Bastion Holdings, Lucio Holding, Wei Zhu) filed its ownership papers Oct 9: 1,429,417 shares disposed Oct 7 — into the +7.69% run — with 4,234,615 pre-funded warrants and 4.23M common still held, roughly 10% of shares outstanding as overhang. Overnight, a 2.19 bid built to 18,789 shares against an empty ask; at the 4 AM pre-market open it evaporated — book now 2.05 bid vs 2.07-2.09 ask stack (626 + 1,036 + 505). The wall was exit liquidity being built, and the Form 4 told us who was exiting.

Hudson Global EPA cohort name — three same-day 13D/As mid-run

SC 13D/A x3 Oct 6; Form 4 Oct 5; secured notes (Dune Equity + FirstFire) Sep 23 · Read SEC filing

VCI Global sits in the Hudson Global Ventures cohort ($125M equity purchase agreement) alongside the Dune Equity/FirstFire convert cluster that recurs across the tracker's financed names. The stock ran +41% overnight and printed 0.78 in early pre-market (+53% over the $0.5095 close). The paper: three Schedule 13D amendments filed the same day, Oct 6, plus a Form 4 Oct 5 — a control group repositioning while the price moved. Watch for follow-on Form 4s; that cluster historically sells into strength, it does not accumulate it.

Insider Form 3/4 cluster sat directly under a 147K-share paint wall

Form 3/4 cluster Oct 5-7, 2026 · Read SEC filing

Algorhythm insiders registered and papered trades Oct 5-7. Two days later the overnight book showed a 147,431-share bid wall at 0.1736, +28% over the $0.1355 close, with an empty ask. At the pre-market open the wall dissolved — the book is now two-sided at 0.1537 bid / 0.155-0.157 ask, roughly +13% over close. The sequence — insider filings, then a defended shelf, then real two-way trade below the shelf — is the distribution pattern the tracker logs, not an accumulation one.

POS AM x3 and SCHEDULE 13G/A filed 2026-10-06; SEC accessions 0001193125-26-414249, 0001193125-26-414232, 0001193125-26-414205 and 0001094891-26-000295

Three post-effective amendments on a registered offering plus a Schedule 13G/A, submitted through the same 0001193125 prefix that also carried LFVN's 8-K and two Form 4s this window. The amendment sequence documents a registered supply channel being updated; the ownership amendment reports a holder's position, which may change for reasons other than sales.

Issue #5

September 28, 2026

The weekend batch after the September 25 review cutoff: two pending registration amendments, one new registration statement, and two ownership amendments that add new filers to the registry map. Registration events are distinguished from completed offerings; ownership amendments are distinguished from open-market transactions. SEC filing review cutoff: September 28, 2026, 12:00 AM ET.

OPTT

Ocean Power Technologies: pending registration amended again

S-1/A filed 2026-09-25; SEC accession 0001493152-26-044343 · Read SEC filing

The September 25 amendment follows the original September 8 registration statement. The registration remains pending; the watch stays on an EFFECT notice or a priced 424B4 before resale supply activates. Filing acceptance alone does not establish that shares have been sold.

IDXG

Interpace Biosciences: new registration capacity opened

S-1 filed 2026-09-25; SEC accession 0001493152-26-044208 · Read SEC filing

A new registration statement on an issuer whose last S-1 in the reviewed record dates to December 2021. The tracker records the new capacity; the gap between registration and any effective resale is the window the terminal labels pre-pump. Attribution stays open.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #3

September 25, 2026

Four September 23 and 24 registration amendments document distinct underwriting, counsel and financing relationships. Shared names are network connections, not evidence of coordinated conduct. SEC filing review cutoff: September 25, 2026, 11:52 AM ET. No price or trading-volume claims are made in this edition.

FDCT

FDCTech: underwriting role documented in registration amendment

S-1/A filed 2026-09-24; SEC accession 0001493152-26-044195 · Read SEC filing

The September 24 amendment identifies ThinkEquity as sole book-runner for a proposed firm-commitment public offering, under an engagement described as dating from September 2025. This establishes the stated underwriting relationship, not that an offering has closed or that shares have been sold.

BYOP

KiNRG: underwriter counsel appears in the legal-matters section

S-1/A filed 2026-09-24; SEC accession 0001213900-26-103116 · Read SEC filing

The September 24 amendment identifies Ellenoff Grossman & Schole as counsel passing on certain offering matters for the underwriter. Whiteford, Taylor & Preston is identified separately as issuer counsel. These are distinct documented roles; a shared service provider is not evidence of coordinated trading.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #2

September 22, 2026

Two pending registrations landed in the same 48-hour window, each threading three tracked gatekeepers through one filing. The pre-pump watch is on the EFFECT notices.

FFPP

Fast Finance Pay — one S-1/A, three gatekeepers

S-1/A accepted Sep 21, 2026

A pending registration amendment naming a transfer agent, a securities firm, and a law firm that all appear elsewhere in the registry. The watch: an EFFECT notice or a priced 424B4 would activate resale supply on a name the terminal has not yet seen trade.

CNTM

ConnectM Technology Solutions — the desk-and-counsel pairing again

S-1/A accepted Sep 21, 2026

The amendment names a placement desk, a law firm, and a lender that each connect to other tracked names. Same watch as above: registration pending, no EFFECT, no priced offering yet — the gap the terminal labels the pre-pump window.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #1

September 17, 2026

Three names entered the deal web through the same financier class this month. The sweep machine now watches sixteen hubs daily — this is the first public read.

CHGA

Change Agents Corporation — serial S-1/A churn through a shared financier class

S-1/A accepted Sep 15 and Sep 16, 2026

Registration amendments filed on consecutive days, with the same placement agents named across filings that also appear in other tracked names. The registration is live; the watch is for the EFFECT notice and a priced 424B4.

LASE

Laser Photonics — the full registration cycle cleared in ten days

S-1 Sep 4 → S-1/A ×2 Sep 9 → EFFECT Sep 10 → 424B4 priced Sep 14

The fastest completion of the issuance cycle the tracker has recorded. Registered supply is cleared and live. Follow-through risk sits in tranche-2 registrations and Form 4 clusters.

Shelves, ATMs, and equity lines — the day they drop · Daily

Issue #6

October 6, 2026

The moment a shelf registration, ATM program, or equity line hits EDGAR, the terminal classifies the stage and the supply. This letter carries the daily signal read.

Issue #6

October 6, 2026

A dilution-stage cohort issuer filed a prospectus supplement the morning after a shelf reached effectiveness elsewhere, while three post-effective amendments updated a registered supply channel. SEC filing review cutoff: October 6, 2026, 7:15 AM ET.

STKH

Steakholder Foods: prospectus supplement beside a foreign-issuer report

424B5 and 6-K filed 2026-10-06; SEC accessions 0001213900-26-106823 and 0001213900-26-106826

A prospectus supplement from an Israel-incorporated foreign private issuer, filed the same window as a 6-K. The supplement states the terms it discloses; filing it is not confirmation that an offering closed or that proceeds were received.

SVRE

SVRE: registration statement declared effective

EFFECT filed 2026-10-06; SEC accession 9999999995-26-003146

The effectiveness notice moves the registration from pending to usable. Supply activates on a priced supplement, which does not appear in the reviewed record through the cutoff. The stage recorded is effective, pre-pricing.

CISS

CISS: three post-effective amendments in one window

POS AM x3 filed 2026-10-06; SEC accessions 0001193125-26-414249, 0001193125-26-414232 and 0001193125-26-414205

Three post-effective amendments to a registered offering in a single morning. Amendments update an existing effective registration; they are not, by themselves, evidence that securities were sold under it.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #5

September 28, 2026

Prospectus supplements and a foreign-issuer F-1 landed in the window after the September 25 morning review cutoff. Supplements state offering terms; they are not, by themselves, confirmation that transactions closed. SEC filing review cutoff: September 28, 2026, 12:00 AM ET.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #4

September 25, 2026

Two September 24 prospectus supplements disclose registered direct offering terms, and a separate 6-K supplies amended articles reflecting a share consolidation. Review cutoff: September 25, 2026, 11:52 AM ET. Offering terms are distinguished from evidence of a completed closing; historical quoted prices are not current market quotes.

IMCC

IM Cannabis: registered direct offering priced at $2.00 per share

424B5 filed 2026-09-24; SEC accession 0001178913-26-004583 · Read SEC filing

The prospectus supplement offers 655,000 common shares at US$2.00 each under a September 23 securities purchase agreement, without a placement agent or underwriter. It cites a September 22 Nasdaq close of US$4.14, a historical reference rather than a current quote. The supplement states offering terms; it is not, by itself, confirmation that the transaction closed.

CPOP

Pop Culture Group: registered direct offering of 665,000 Class A ordinary shares

424B5 filed 2026-09-24; SEC accession 0001213900-26-102851 · Read SEC filing

The supplement offers 665,000 Class A ordinary shares at US$3.00 each directly to an investor, under a September 22 securities purchase agreement and without a placement agent or underwriter. It cites the September 22 close of US$4.71. The offering price and historical market price are distinct; filing the supplement alone does not confirm receipt of proceeds or completed settlement.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #3

September 22, 2026

The weekend sweep updated 32 tracker entries. Four of them opened or re-opened live supply channels — one by a nine-line-item 8-K, two by pricing, one on top of a staff-action flag.

RIME

Algorhythm Holdings — a nine-item 8-K: acquisition closed, debt created, equity issued unregistered

8-K (items 1.01/2.01/2.03/3.02/3.03/5.02/5.03/7.01/9.01) accepted Sep 21, 2026, period Sep 15

A completed acquisition or disposition reported alongside a new direct financial obligation, an unregistered equity issuance, an officer and charter change, and a Reg FD disclosure — one filing. The tracker carries the mechanism bundle; the individual line items stay open for the full read.

EFTY

Etoiles Capital — a suspended name's registration went effective and priced

EFFECT Sep 18 → 424B3 priced Sep 21, 2026 (File No. 333-298341)

The registration behind the Oct 2025 trading suspension cleared effectiveness and priced a resale prospectus five days later. A live resale channel on a regulatory-action name is the mechanism the tracker records; the stage moves to the dilution-side ledger.

RETO

ReTo Eco-Solutions — a 424B5 landed on top of a pending staff-action flag

424B5 accepted Sep 18, 2026; Form 88 staff action accepted Sep 11, 2026

A prospectus supplement — active supply — filed a week after a staff-action notice whose content is not yet publicly accessible. The tracker holds both flags side by side without joining them.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #2

September 18, 2026

Three F-1/F-3 shelves went effective in three days, one of them on a post-reverse-split name. The supply machine is not slowing down.

SXTC

China SXT Pharmaceuticals — new F-3 shelf declared effective mid-restructure

F-3 (File No. 333-297305) effective Sep 16, 2026

A fresh shelf cleared effectiveness roughly five weeks after a 1-for-80 reverse split. The tracker records the shelf as live dilution capacity on a name already staged RESET after the Smart Mart financing losses.

MEGL

Magic Empire Global — F-3 shelf effective one week after filing

F-3 (File No. 333-298796) effective Sep 17, 2026

The shelf filed Sep 8 cleared in nine days. Post-IPO-crash names re-arming with live shelves is the recurring DILUTION-stage signature; the watch moves to 424B5 takedowns.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #1

September 17, 2026

One name priced an offering after a 13x share-count expansion. One lost its primary listing. The supply machine is busy.

CTNT

Cheetah Net — registered supply priced against a re-based share count

424B4 priced Aug 24, 2026; share count 2.67M (Aug 2025 cover) → 36.18M (Mar 2026 cover)

A 13.5x expansion of shares outstanding across seven months, followed by a priced registered offering. The tape printed roughly 6.6x the March cover count in a single session — the churn signature of a distribution phase. Stage: DILUTION mechanics.

SNYR

Synergy CHC — primary listing suspended at the open Sep 18

8-K (exchange notification) filed Sep 16, 2026

Trading on the primary venue is suspended at Friday's open; the exchange's Form 25 follows. Chapter 11 was filed Sep 4. Stockholders authorized a reverse split of up to 1-for-200 on Jun 29 — no ratio or date declared. The tracker follows the name off-venue.

Issue #6

October 6, 2026

The EDGAR wire flags seller-classified Form 144 filings the moment they're accepted, and verifies the tape before the alert fires. This letter is the standing record of who is selling paper.

Issue #6

October 6, 2026

New insiders were registered and reported transactions in the same window at one issuer, while two other issuers filed ownership amendments and an officer report. SEC filing review cutoff: October 6, 2026, 7:15 AM ET.

RIME

RIME: three Form 3 registrations paired with three Form 4 reports

Form 3 x3 and Form 4 x3 filed 2026-10-06; SEC accessions 0001213900-26-106950 through 0001213900-26-106934

Three initial beneficial-ownership statements (Form 3) and three transaction reports (Form 4) from one issuer in one morning. Form 3 registration followed by same-window Form 4s documents insiders whose reporting obligations began and whose transactions were reported together; the filings state holdings and dates, not motivation.

LFVN

LifeVantage: two Form 4s beside an 8-K

Form 4 x2 and 8-K filed 2026-10-06; SEC accessions 0001193125-26-414130, 0001193125-26-414128 and 0001193125-26-414122

Two insider transaction reports filed the same window as a material-event report from the same issuer. The Form 4s state transaction dates, amounts and reported codes; the 8-K names the event it reports. Neither filing establishes that the transactions relate to the event.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #5

September 28, 2026

The weekend wire batch carried two seller-classified Form 144 notices and a same-day cluster of insider-transaction reports on one issuer. Notice filings are distinguished from executed transactions; same-day clustering is a recorded timing pattern, not evidence of coordination. Wire review cutoff: September 28, 2026, 12:00 AM ET.

NEKTAR

Nektar Therapeutics: five reporting persons filed transaction reports in one day

Form 4 x5, accepted 2026-09-25, five distinct reporting persons

Five insider-transaction reports from five separate reporting persons on the same issuer on the same day. The wire records same-day clustering as a timing class; the filings report individual transactions, and clustering is not itself evidence of coordination.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #4

September 25, 2026

A September 25 ownership amendment attributes a percentage reduction to issuer share issuance, not sales by the reporting persons. This edition also separates older acquisition agreements, a proposed-sale notice and a reported sale. SEC filing review cutoff: September 25, 2026, 11:52 AM ET.

ZJYL

Jin Medical International: Schedule 13D/A exit filing follows corporate share issuance

SCHEDULE 13D/A filed 2026-09-25; SEC accession 0001213900-26-103303 · Read SEC filing

The amendment reports Erqi Wang at 3.35% beneficial ownership and Jolly Harmony at 3.01%, using the filing's as-converted ownership calculations. The positions overlap and should not be added. It attributes the reduction below 5% to issuance of 79,762,048 Class A shares for an acquisition and related advisory compensation, and states the reporting persons did not acquire or dispose of shares after their original Schedule 13D.

TROO

Troops: Lianteng ownership disclosure refers to a 2024 transaction

Schedule 13D filed 2026-09-24; SEC accession 0001104659-26-110232 · Read SEC filing

Lianteng reports 10,912,168 ordinary shares and 8.9% beneficial ownership. The filing describes shares received on December 11, 2024 under a May 9, 2024 acquisition agreement. A disclosure filed in September 2026 is not evidence of a new September 2026 open-market purchase.

TROO

Troops: separate WANG & LEE ownership disclosure

Schedule 13D filed 2026-09-24; SEC accession 0001104659-26-110233 · Read SEC filing

WANG & LEE Holdings reports 9,650,000 ordinary shares and 7.9% beneficial ownership under a previously negotiated stock purchase agreement described in the filing. This is a separate reporting-person disclosure, not evidence of joint control with Lianteng or a contemporaneous open-market transaction.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #3

September 22, 2026

Monday's after-hours batch clustered again: affiliated notices inside ten minutes on one ticker, a six-figure officer proposal on another, and two more in the end-of-close window.

DELL

Dell Technologies — affiliated Silver Lake-linked notices filed in a 66-second cluster

Form 144 ×3 accepted 18:27:27 / 18:28:16 / 18:28:37 ET Sep 21, plus a fourth at 18:34:57

Three affiliated notice filings landed inside one minute after the close, with a fourth minutes later — one reporting a proposed sale of 630 Class C shares, aggregate value $357,877.80, approximate sale date Sep 21. Tape at the end-of-session stamp: $575.31, +1.28%, 0.02% spread. The wire flags the cluster timing; a notice is a proposal, not an execution record.

TLS

Telos Corp — officer notice proposing a 96,151-share sale

Form 144 accepted 18:18:40 ET Sep 21, 2026

The filing reports officer John B. Wood's proposed sale of 96,151 common shares, aggregate market value $387,030.72, approximate sale date Sep 21. Tape at the end-of-session stamp: $4.03, −0.98%, 0.98% spread. Proposed-restriction-sale paperwork, not a confirmation of execution.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #2

September 18, 2026

One issuer filed three insider-transaction reports in a single day. The wire's morning batch carried one large-cap notice into a flat prior-session tape.

BENF

Beneficient — three Form 4 insider-transaction reports filed in one day

Form 4 ×3, all accepted Sep 17, 2026 (accessions ...043124 / ...043125 / ...043126)

Three separate insider-transaction reports landed on the same day, a day after an 8-K. The tracker cohort holds this name on the distress list; cluster timing is what the wire records, attribution is not.

This is half the letter. The rest of the tape — and every edition — is for members.

Issue #1

After-hours batches cluster. Three filings for one ticker in sixty seconds is a coordinated exit — the wire caught them all.

The Opening Bell Letter

The 9:30 AM ET pre-market wrap and open read · Daily

Issue #1

October 13, 2026

Daily at the opening bell. The pre-market recap — every tracked name, its close, its pre-market high, and the percentage move — plus the live order books into 9:30 and the filings behind them.

Issue #1

October 13, 2026

The pre-market session ran green across the board: PFAI peaked +189% over Friday's close before cooling to +144% at the bell approach, BKYI faded its morning spike and then rebuilt to a new high, TCRT stacked a 10K-share bid, and SCNI carries a 6-K filed this morning. Pre-market highs, close to peak: PFAI $2.61 -> $7.54 (+189%), BKYI $1.65 -> $4.16 (+152%), TCRT $1.05 -> $1.80 (+71%), SCNI $1.16 -> $1.67 (+44%), AIXI $2.40 -> $3.21 (+34%), YJ $1.89 -> $2.48 (+31%), FRMI $3.25 -> $3.82 (+17.5%), WBUY $0.81 -> $0.96 (+18%), DCX $2.20 -> $2.42 (+10%), SNDQ $14.23 -> $15.50 (+8.9%), BMEA $1.36 -> $1.42 (+4.4%). Live books and the filings behind the six names to watch at 9:30 follow.

PFAI

The morning's biggest move: +189% peak off a fresh 6-K, now cooling to +144%

6-K filed Oct 6, 2026 · Read SEC filing

Pinnacle Food Group Ltd (Canadian smart-farming / controlled-environment agriculture, foreign private issuer) closed Monday at $2.61 and printed a pre-market book as high as $7.54 (+189%). By 9:17 AM ET the book read $6.38 x 219 vs $6.42 x 356 with 835 shares stacked at $6.44 — a two-sided book cooling off its high but holding +144% over the close. Mechanism note: the Oct 6 6-K is the only recent filing; the move size versus the filing gap says the run is flow-led with the filing as context, not a disclosed-event re-rating.

BKYI

Full round trip: spiked to 4.06, faded to 3.80, rebuilt to 4.16 into the bell

8-K Oct 2 / 8-K Oct 6 (annual meeting votes); no new filings since · Read SEC filing

BIO-key International (US, biometric authentication) closed Monday at $1.65 and ran to a $4.06 book pre-market (+146%), faded through 3:94 to $3.80 (-17% off the high, bid thinned to 16 shares), then REBUILT — by 9:17 AM the bid stood $4.16 x 319 with the ladder refilling behind it. The ask re-stacked though: 2,542 shares at $4.17. That is the oscillation machine profile: wide swings, both sides active, no filing catalyst behind it. Pure flow — the trade is the book, not the news.

TCRT

10,567-share bid at $1.80 — +71% over close with insider Form 4s behind it

8-K Oct 9; Form 4 cluster Oct 8 (five filings) · Read SEC filing

Alaunos Therapeutics (US, cell therapy) closed Monday $1.05 after a +33.6% regular session on 3.4M shares. Pre-market the bid built to $1.80 x 10,567 (+71% over close) against a 2,668 ask at $1.81 with 8,326 stacked at $1.83. The paper trail is real and recent: an 8-K on Oct 9 and a five-filing Form 4 cluster on Oct 8 — insiders papered transactions into this window. A stacked bid plus insider activity is the two-sided read: watch whether the $1.81-1.83 ask ladder lifts or absorbs.
